Investor Relations Policy

1. PURPOSE

The purpose of this policy is to describe the practices and guidelines that the Company follows in order to ensure proper and effective communication of information to the investment community and/or media so that investors can make informed investment decisions.

 

2. SCOPE

This policy applies to all personnel within the Group, covering various aspects of investor relations (“IR”):

a. communication of information; and
b. channels of communication.

 

3. Authorised Personnel

Only Board of Directors, Executive Chairman and their designated officer(s) (collectively “Authorised Persons”) can establish dialogue with shareholders to solicit their viewpoints and/or respond to enquiries from members of the investment committee or media.

 

Other than the Authorised Persons, enquiries received from the investment community or media may also be directed to the IR contact point i.e. the Group Financial Controller or equivalent.

 

4. Equally Informed and Timely Release of Major Developments

The Company does not practice selective disclosure. In line with continuous obligations of the Company pursuant to the Listing Manual of the Singapore Exchange Securities Trading Limited (“SGX-ST”), it is the Company’s policy that all shareholders should be equally informed, on a timely basis, of all major developments within the Group. Price-sensitive information and results are released through SGXNet on a timely basis in accordance with the requirements of SGX-ST.

 

5. Response to Rumours / Speculations / Media Reports etc.

The Company does not respond to market rumours and/or speculations regardless of its medium or sources. The Company will provide clarifications via SGXNet only if confidential or sensitive information is deemed to have been leaked or if there are material price movements in the trading of our securities due to certain rumours, speculations and/or media reports that the Company needs to address.

 

6. Quarterly, Half-Year and Full Year Results Announcement

The Company will release its quarterly, half-yearly and full year financial statements within the stipulated timeline in accordance with the SGX-ST listing requirements through SGXNet. The information will also be posted in the Company’s IR website http://www.oio.holdings

 

7. Annual General Meetings and Extraordinary General Meetings

The Company’s Annual General Meeting (“AGM”) is the main channel of communication with shareholders, and also provides an avenue for shareholders’ participation.

 

The AGM, usually held not later than 4 months after December, is a platform for the Executive Chairman of the Company to present its operational and financial performance for the past year. The Company’s Board of Directors will also be present to address shareholders’ queries during the meeting.

 

Shareholders are entitled to attend and vote at the AGM. A Notice of AGM will be released to all shareholders, including the resolutions to be tabled and a proxy form. Shareholders may appoint not more than two proxies to attend and vote on their behalf, where the proxy need not be a shareholder.

 

The proxy form should be submitted within the stipulated timeline, and deposited at the office of the Company’s Share Registrar, Vistra Singapore, 9 Raffles Place, #26-01 Republic Plaza, Singapore 048619.

 

Shareholders will be informed of the voting procedures prior to the resolutions. The results of the poll will be disclosed on the same day of the meeting, and an announcement on the details of the votes i.e. number and percentage of “For” and “Against”, will also be announced through SGXNet.

 

Similar to an AGM, shareholders may attend and vote at an Extraordinary General Meeting (“EGM”) and they may appoint a proxy to attend and vote on their behalf, where proxy forms are to be submitted within the stipulated timeline to the office of the Company’s Share Registrar, Vistra Singapore, 9 Raffles Place, #26-01 Republic Plaza, Singapore 048619. A copy of the circular, which contains the proposed matters for consideration, will be delivered to all shareholders. A notice of EGM will also be announced through SGXNet.

 

The minutes of general meetings, which include substantial and relevant comments or queries from shareholders relating to the agenda of the general meetings together with the responses from the Board of Directors and Management are prepared and made available on the Company’s website as soon as practicable

The Company will disclose all publicly available information on our website https://www.oio.holdings including announcements, annual reports, press releases, financial statements and presentations etc. issued through SGXNet.
